Transactional Associate
Underwood Scoggins, LLC, a growing law firm serving North Georgia and Metro Atlanta and specializing in land use & zoning, real estate litigation, eminent domain and corporate representation, is seeking a transactional Associate Attorney to join the firm at its office in Cumming, Georgia.
We are looking to add a transactional associate to our talented team who is organized, detail-oriented and adaptable. The successful candidate has 0-3 years of experience with a main focus on commercial transactions, mergers and acquisitions, and other real estate and corporate transactions. Demonstrable analytical and critical thinking skills, strong written and verbal communication skills and proficiency in Microsoft Word and Outlook required. This is an exciting and challenging opportunity for a lawyer who wishes to establish themselves over the long term and grow as a professional.
Roles & Responsibilities:
- Prepare documents used for secured transactions.
- Draft purchase and sale agreements, letters of intent, deeds, leases, etc. for commercial and residential real estate transactions.
- Review and prepare title objections and closing documents.
- Conduct closings and complete post-closing recordings, disbursements, and administration.
- Review commercial leases and Common Area Maintenance clauses.
- Review and monitor agreements with developers.
- Approval of conditions required prior to draw disbursement and developer payment.
- Draft and review genera contracts, obtain approvals, modify documents as necessary and coordinate document execution.
- Preparation of Wills and estate planning documents.
Requirements/Qualifications:
- Undergraduate degree and J.D. from recognized universities.
- Current Georgia Bar admission.
- Experience or interest in transactions/corporate matters.
- Effectively prioritize work and business needs.
- Excellent oral, interpersonal, and writing skills in English.
- Ability to work under pressure and meet urgent deadlines.
- Experience with corporate and real estate related issues will be a strong differentiator for potential candidates.
